    The Board recently revised the organization’s Bylaws on March 25, 2026, to create new classes of members and prohibit members from voting for their Board. These new Bylaws are publicly available on the railroad’s website by going to Explore > About Us > HRCV > Documents. A link can be found in the comments.
    In Article I, Section 3, the Board establishes two “Classes of Membership” - “Class A Voting Members” and “Class B Non-Voting Members.” Only Directors (aka Board members) are granted “Class A” status and have the exclusive right to vote. All other members of the organization have NO right to vote. In addition, the Bylaws allow the Board to set the number and qualifications of Class B members.
    The Certificate of Incorporation (aka Charter) is also available on the “Documents” page of the website and clearly states in Article Eighth: “The Board of Directors shall be elected by the members at the annual meeting of the corporation to be held on such date as the by-laws may provide.” A nonprofit’s Bylaws must follow what’s dictated in its Charter, so the 2026 Bylaws appear to be in direct violation of the Charter."
